In this Deed:<\/strong><br \/>\n&#8220;<em>Confidential Information<\/em>&#8221; means all information relating to each member of the Provider Group, its<br \/>\nsystems, processes, copyright, designs, ideas, concepts, trade secrets, customer lists, databases,<br \/>\ntemplates and business know how which is provided to any member of the Recipient Group or their<br \/>\nRepresentatives by or on behalf of the Provider, but excluding information which:<br \/>\n(a) the Recipient can show was in its possession prior to the date on which the Recipient executes this<br \/>\nDeed; or<br \/>\n(b) is now, or later becomes, information in the public domain other than through a breach of this Deed;<br \/>\nor<br \/>\n(c) is disclosed by the Recipient pursuant to any law or order of any court, of any governmental agency<br \/>\nor other regulatory body with which the Recipient is bound to comply; or<br \/>\n(d) the Recipient can show was received on a non-confidential basis from a third party which did not itself<br \/>\nacquire the same, directly or indirectly, from the Provider.<br \/>\nFor the purposes of this definition, &#8220;Provider&#8221; and &#8220;Recipient&#8221; are used consistently with the context to<br \/>\nwhich the relevant clause referring to &#8220;Confidential Information&#8221; is being applied at the time.<br \/>\n&#8220;<em>Davisi, Mini Hearts<\/em>&#8221; means Davisi Pty Ltd\u00a0 (ABN 18 663 425 956), its associated entities and its related bodies<br \/>\ncorporate.<br \/>\n&#8220;<em>Governing Jurisdiction<\/em>&#8221; means Victoria, Australia.<\/p>\n<p>&#8220;<em>Provider Group<\/em>&#8221; means:<br \/>\na) in the case of Confidential Information relating to Davisi, Mini Hearts<br \/>\nb) in the case of Confidential Information relating to &#8220;Your Company\/Details&#8221;<\/p>\n<p>&#8220;<em>Purpose<\/em>&#8221; means discussions and projects regarding Davisi, Mini Hearts\u2019 software solutions, business information,<br \/>\nprocesses, projects, systems and knowhow thereto; and the provision by Your Company\/Details of developer and<br \/>\nproject management resources in order to support the launch and ongoing service of the Davisi, Mini Hearts\u2019<br \/>\nsolutions.<\/p>\n<p>&#8220;<em>Recipient<\/em>&#8221; means:<br \/>\n(a) in the case of Confidential Information relating to Davisi, Mini Hearts, Your Company\/Details,<br \/>\n(b) in the case of Confidential information relating to Your Company\/Details, Davisi, Mini Hearts<br \/>\nand &#8220;Recipient Group&#8221; must be construed accordingly.<\/p>\n<p>\u201c<em>Representatives<\/em>\u201d means the directors, employees, contractors, consultants, financial advisers, legal<br \/>\nrepresentatives and any related body corporate of the relevant parties.<\/p>\n<p>2. The Recipient must preserve, and must procure that each member of the Recipient Group and it\u2019s<br \/>\nRepresentatives preserves the confidentiality of the Confidential Information and take adequate and proper<br \/>\nprecautions at all times and enforce such precautions to preserve the secrecy and confidentiality of the<br \/>\nConfidential Information.<\/p>\n<p>3. The Recipient must not use the Confidential Information for any purpose other than the Purpose unless<br \/>\nauthorised in writing by the Provider.<\/p>\n<p>4. All Confidential Information is, and remains, the property of the Provider or the relevant member of the<br \/>\nProvider Group.<\/p>\n<p>5. The Recipient may disclose the Confidential Information to those members of the Recipient Group and its<br \/>\nRepresentatives only to the extent that they need know such Confidential Information for the Purpose and<br \/>\nhave been made aware of the terms set out in this Deed.<\/p>\n<p>6. The Recipient must:<br \/>\na) establish and maintain effective security measures to safeguard the Confidential Information from<br \/>\naccess or use not authorised by this Deed;<br \/>\nb) keep Confidential Information under the Recipient&#8217;s control;<br \/>\nc) maintain complete, accurate and up-to-date records of the Recipient&#8217;s use, copying and disclosure of<br \/>\nConfidential Information and immediately produce these records to the Provider on request; and<br \/>\nd) immediately notify the Provider of any suspected or actual unauthorised use, copying or disclosure of<br \/>\nConfidential Information.<\/p>\n<p>7. The Recipient must not copy or transmit in any manner any Confidential Information without the Provider\u2019s<br \/>\nwritten consent.<\/p>\n<p>8. The Recipient will be liable for any breaches of the terms of this Deed by the Representatives of the<br \/>\nRecipient.<\/p>\n<p>9. This Deed must be construed in accordance with the law of the Governing Jurisdiction.
